• Long-term planning of entire project and its specific aspects for management, shareholders and external users (banks, potential strategic investors, assessors). Examples of tools developed:
◦ Finance model for furnace lifetime period (15+ years)
◦ Investment analysis of auxiliary projects (sand quarry, sand refinery, coating line, tinted glass, second float line)
◦ Mathematical model of float glass market for mid-term forecasting (3-5 years)
• Financial team building and development
◦ Financial team including economists, accountants and treasury has been built, educated and trained from zero
• Financing. Including:
◦ Project financing ($230m) - VneshEconomBank (VEB): loan restructuration, support, legalization of all types of collaterals (mortgage, shares, equipment, guaranties) and loan monitoring conducted by independent auditor (AECOM, Spectrum)
◦ Current financing ($70m): transaction support, prolongation, receiving of State grants
◦ Equity ($50m): close offering legal support
◦ Informational and analytical support of negotiations with Russian Direct Investments Fund (RDIF) and their back-to-back co-investors (CIC)
◦ Leasing of vehicles including back leasing of glass transporters
◦ State guaranties ($30m) have been issued this year
• Budgeting and accounting. Most of components in this area was developed from scratch. It included but not limited:
◦ Budgetary system as for project so for operational stage was established (budgetary and financial structure, formats of budgets and input files, methodology, schedule and so on)
◦ Costing methodology was designed and now is being used for both statutory and managerial accounting
◦ Accounting policy was also developed
◦ Monthly performance analysis
◦ Budgetary control
• ERP implementation. My role as finance business processes owner included but not limited:
◦ Finance and accounting business processes design
◦ Managing key users (Treasurer, Credit Controller, Budget Controller, Accountant (s))
◦ Master Data management
◦ Authorization matrix design and integration
◦ SOX conformance testing
◦ Managing ERP - 1C integration
• Risk management. The following tools were used for risk mitigation
◦ Call option for commodity procurement (tin)
◦ Collar costless option for currency risk (equipment suppliers and loans)
◦ Construction all risks insurance
◦ Terrorism risk insurance (through Russian Antiterrorist Insurance Pool and Lloyd's of London)
• Treasury. The function was created from zero
◦ Cash Flow management (short-term cash planning: daily, weekly, monthly, bimonthly)
◦ Currency Control (import of equipment, export of glass, loans)
• Internal policies and regulations. The following examples of documents were issued:
◦ Credit policy. Credit sales is nearly 50%.
◦ Wage rates distribution was designed and now is being used as a baseline for staff list
◦ Pricing policy was developed and is being tested
◦ Contractual procedure
◦ Document flow regulation
◦ Regulations on mobiles, travels etc.
• Legal matters:
◦ Corporate matters (Board of Directors and shareholders meetings legal support, mandatory disclosure of information)
